Acceptance of Terms

By purchasing, enrolling in, accessing, or using Shift Up Code, its website, materials, videos, downloads, coaching content, community spaces, or related services, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use or purchase the program.

Program Purpose

Shift Up Code is designed for educational, personal development, mindset, and coaching support purposes only. It is not therapy, medical care, mental health treatment, legal advice, tax advice, or financial advisory services. Participation in the program does not create a therapist-client, attorney-client, financial advisor-client, or other licensed professional relationship.

Eligibility

You must be at least 18 years old to purchase or participate in Shift Up Code unless express written permission is provided by a parent or legal guardian where legally applicable.

Payment Terms

All prices are listed in U.S. dollars unless otherwise stated. Payment is due in full or according to the selected payment plan at checkout. By selecting a payment plan, you agree to complete all scheduled payments on time. Failure to make payments may result in suspension or removal of access to the program and its materials until the account is brought current.

Refund Policy

Because Shift Up Code includes immediate access to proprietary digital materials, training content, and intellectual property, all sales are final unless otherwise expressly stated in writing on the sales page at the time of purchase. If a specific refund window or guarantee is offered for a promotion, only that written offer will apply.

No Guaranteed Results

You understand and agree that individual results will vary. Shift Up Code does not guarantee any specific personal, emotional, relational, business, financial, or lifestyle outcome. Your progress depends on many factors, including your effort, follow-through, circumstances, and personal responsibility.

Personal Responsibility

By participating in Shift Up Code, you acknowledge that you are fully responsible for your own decisions, actions, results, and wellbeing. You agree to seek appropriate licensed support where needed for medical, psychological, psychiatric, legal, tax, or financial concerns.

Community Conduct

If Shift Up Code includes live calls, group coaching, a private community, comment sections, or any shared learning environment, you agree to participate respectfully. Harassment, abuse, hate speech, threats, spam, solicitation, disruption, or sharing of another participant’s private information will not be tolerated and may result in removal without refund.

Confidentiality

We value privacy and ask all participants to do the same. While we will make reasonable efforts to maintain confidentiality within program spaces, confidentiality cannot be absolutely guaranteed in group environments. You agree not to disclose or misuse any personal information shared by other participants.

Intellectual Property

All Shift Up Code content, including but not limited to videos, lessons, worksheets, templates, frameworks, coaching tools, written content, graphics, names, branding, and program materials, is the intellectual property of Temmy Ogunsanya and/or Shift Up unless otherwise stated. You may use purchased materials for your own personal, non-commercial use only. You may not copy, reproduce, republish, modify, distribute, sell, share, upload, teach from, or exploit any content without prior written permission.

Account Access and License

When you purchase Shift Up Code, you are granted a limited, non-transferable, revocable license to access the program for your personal use only. Sharing login details, downloading content for redistribution, or giving unauthorized access to others is strictly prohibited.

Testimonials and Results Sharing

Any testimonials, stories, or examples shared in connection with Shift Up Code are illustrative only and are not a promise or guarantee of future results. If you voluntarily submit a testimonial, review, comment, or success story, you grant permission for it to be used in marketing or promotional materials unless you request otherwise in writing.

Technology Disclaimer

We are not responsible for temporary platform outages, hosting issues, third-party software interruptions, internet disruptions, or other technical problems beyond our reasonable control. We reserve the right to update delivery platforms, schedules, content, or access methods as needed.

Termination of Access

We reserve the right to refuse service, suspend access, remove a participant, or terminate access to Shift Up Code at our discretion if these Terms are violated, if payment obligations are not met, or if conduct is harmful to the business, team, or community.

Limitation of Liability

To the fullest extent permitted by law, Temmy Ogunsanya, Shift Up, and all related team members, contractors, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or related to your participation in or use of Shift Up Code.

Indemnification

You agree to indemnify and hold harmless Temmy Ogunsanya, Shift Up, and related parties from and against any claims, damages, liabilities, losses, costs, and expenses arising from your misuse of the program, violation of these Terms, or infringement of any rights of a third party.

Changes to Terms

We reserve the right to update or modify these Terms and Conditions at any time. Any revised version will become effective upon posting to the website or program platform unless otherwise stated.

Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the State of Texas, without regard to conflict of law principles.
